	Prices All prices are net wholesale cost to the qualified trade. All prices shown are FOB factory, San Diego, California; exclusive of freight, storage, handling, etc. Quoted prices do not include crating. Prices and specifications are subject to change without notice. Terms All orders require a 50% deposit enclosed with purchase order to initiate production. Balance is payable prior to shipment (CBD). Rush orders will incur an additional charge.

	Order Acknowledgments All orders will be acknowledged in writing. The order acknowledgment submitted by Stone Yard, Inc. is intended as the complete and final statement of the materials, terms, and conditions of agreement between Stone Yard, Inc. and the customer. The factory assumes no obligation to accept amendments to an order already acknowledged. Any orders with missing information or incorrect information will be rescheduled for manufacturing upon receipt of corrected and completed information. Please examine acknowledgment carefully. If there are any discrepancies, notify us in writing immediately. Order Changes Acknowledged orders may be changed by mutual agreement only. All changes must be requested in writing and are subject to approval. Order revisions may be subject to price and schedule adjustments, handling and/or cancellation charges, as appropriate. Change orders will not be accepted once an order is in production. Cancellations Orders cannot be cancelled without the written consent of Stone Yard, Inc. Orders already in production will not be cancelled. All standard orders acknowledged but prior to production are subject to a 25% cancellation charge. Once production has begun, cancellation charges are as follows: 50% on standard products 75% on modified standard products 100% on custom products Invoicing A sales invoice is forwarded two to three weeks prior to scheduled ship date. The invoice will restate the order confirmation, affirm the scheduled ship date and request the balance to be paid in full. Unpaid balances will be subject to a 1-1/2% interest charge per month and must be paid in full prior to shipment. Freight Unless otherwise specified by customer at time of order, transportation will be via "Best Way." Unless otherwise specified, freight charges will be prepaid by Stone Yard, Inc. and billed to the customer. Stone Yar Inc. strongly recommends crating when delivery is made outside of the Southern California area. Claims Stone Yard, Inc. is not responsible for any damage which occurs in transit or in storage. It is the customer's responsibility to examine product upon receipt and note any damage in transit on the carrier's delivery receipt. All claims should be filed by the customer with the carrier immediately. Damage which does not become apparent until order is unpacked (concealed damage) should be reported to the carrier in writing as soon as it is discovered. Any claim against Stone Yard, Inc. for defects, errors or shortages must be made by the customer in writing within 15 days after delivery. Failure by the customer to make any claim against Stone Yard, Inc. within 15 days will constitute acceptance of the product and a waiver of any defects, errors or shortages. Returns Merchandise may be returned only with factory's written consent and shipping instructions. Only standard products that are normally inventoried will be considered for return. All related transportation costs shall be prepaid by the buyer. Authorized returns are subject to a 50% restocking charge. Returned merchandise must be received in original cartons and condition. Damaged or "used" merchandise may be subject to additional or full charges. Merchandise returned without Stone Yard, Inc.'s consent will be refused and returned at buyer's expense. Storage If customer requests postponement of delivery when Stone Yard, Inc. is scheduled to make shipment, Stone Yard, Inc. reserves the right to charge a 2% fee per month on total invoice value and/or transfer the product to storage at the customer's risk and expense. Such transfer to storage will be deemed delivery to the customer for all purposes including invoicing and payment. Durability Our products are guaranteed to remain functional for the purpose for which they are designed. While our products are made of quality materials, cast-stone products are susceptible to physical damage and should be handled carefully. Sole Agreement This agreement is the only agreement between the parties hereto. Any prior or contemporaneous agreements, if any, oral or written, are hereby superseded. Special Code Requirements Merchandise will be designed, made and delivered as quoted and no consideration can be given to any state, local, or city requirements in your area unless Stone Yard, Inc. is given advance notice of said requirements and special terms are agreed upon in writing to cover these items. Forums This agreement can only be accepted in California and any and all disputes associated with this agreement and the merchandise shall be resolved in the County of San Diego, State of California and according to said laws and said jurisdiction. Warranty Stone Yard, Inc. expressly warrants and guarantees their products for a period of one year to be free from defective workmanship when shipped and will repair or replace goods not in conformity to the description contained herein. This warranty shall not apply to any product which has been repaired or altered outside of our factory, subjected to abuse or negligence, or used in a manner contrary to normal use. This warranty shall not include costs incurred in the installation or reinstallation of warranted products.
